Buyer License
Effective date: 2026-03-14 Last updated: 2026-03-14
This Buyer License ("License") sets out the terms under which you may use Skill Bundles acquired through the Marketplace. It is the default license that applies to every Listing unless the Listing presents approved Seller-specific license terms before purchase. This License is part of the document hierarchy described in Section 12 of the Terms of Service.
1. Scope and Priority
1.1 Default license
This License applies to every Skill Bundle acquired through the Marketplace — whether paid or free — unless the Listing clearly presents approved Seller-specific license terms before purchase.
1.2 Seller-specific overrides
If a Listing includes Seller-specific license terms that have been approved by the Marketplace and shown to you before purchase, those terms govern to the extent they do not conflict with the Terms of Service, this License's mandatory protections, or the Acceptable Use Policy. Seller-specific terms may add rights or impose product-specific conditions, but cannot:
- Reduce mandatory Buyer protections established in the Terms of Service or Refund Policy;
- Override marketplace-wide consumer, refund, takedown, or acceptable-use rules;
- Be introduced after purchase without your explicit consent.
1.3 Priority
If this License conflicts with the Terms of Service or Refund Policy, the higher-priority document prevails per the document hierarchy in Section 12 of the Terms of Service.
2. Definitions
This License uses the defined terms from the Terms of Service and Shared Definitions. Additional definitions for this License:
- Modification — altering, adapting, reconfiguring, or extending a Skill Bundle so that the result still depends on a substantial portion of the original Bundle to function.
- Derivative Work — a new, independently functional skill or product that was partly derived from a purchased Skill Bundle but can function without any substantial portion of the original.
- Output — work product (text, code, reports, images, etc.) generated by a Buyer using a Skill Bundle as a tool, as distinct from the Skill Bundle itself.
- Internal Use — use by the Buyer (or the Buyer's single employing/owning legal entity) for its own internal personal or business workflows, excluding public redistribution, resale, or sublicensing.
- Manifest — a structured file within a Skill Bundle listing its components, dependencies, required permissions, and third-party license information.
3. License Grant
3.1 What you receive
Subject to these terms, the Seller grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access, download, install, and use the purchased Skill Bundle;
- Use it for Internal Use within your own personal or business workflows;
- Make reasonable backup copies needed for installation, disaster recovery, or reinstallation.
3.2 Licensee
The license is granted to the individual Telegram account that completed the purchase. If you act on behalf of a legal entity, the license extends to Internal Use within that single legal entity, but you (the account holder) remain the named licensee.
3.3 Not a sale
You receive a use license, not ownership. The Seller and its licensors retain all intellectual property rights in the Skill Bundle. See Section 11 for ownership details.
4. Allowed Use
You may:
4.1 Install and use
Install and run the Skill Bundle in supported agent, runtime, or development environments for your Internal Use.
4.2 Create Outputs
Create Outputs using the Skill Bundle as a tool. See Section 4.5 for Output ownership rules.
4.3 Backup
Make a limited number of internal archival or backup copies for installation, disaster recovery, or reinstallation purposes.
4.4 Internal team access
Allow personnel of your single legal entity (including contractors — see Section 6) to access and use the Skill Bundle within your environment, provided you (the purchasing account holder) remain responsible for all use and compliance.
4.5 Output ownership
- Outputs belong to you. Outputs produced by you using the Skill Bundle as a tool (e.g., generated text, code, reports, images) belong to you.
- Exception for reproduced Seller material. If an Output substantially reproduces protected Seller material — such as verbatim prompt text, templates, or Seller-authored content embedded in the Bundle — you may use that Output internally but may not publicly distribute, resell, or sublicense the reproduced portions.
- No Operator claim. The Marketplace Operator does not claim any ownership or license over your Outputs.
- Jurisdictional limits. Where jurisdictional rules limit copyright in AI-generated works, those rules apply. This License does not purport to grant or deny copyright that does not exist under applicable law.
4.6 Combine workflows
Combine two or more purchased Skill Bundles into a single internal workflow. Publicly redistributing or reselling the combined result is not permitted.
5. Restricted Use
You must not:
5.1 Redistribute
Resell, relicense, sublicense, lend, rent, or redistribute the Skill Bundle through any marketplace, repository, forum, package index, or public channel.
5.2 Publish publicly
Post the Skill Bundle, its prompts, files, screenshots, or substantial portions in public repositories, forums, social media, or package indexes.
5.3 Remove attribution
Remove, obscure, or alter attribution notices, copyright notices, license metadata, or Manifest files included in the Skill Bundle.
5.4 Claim authorship
Claim authorship of the Seller's content or present the Skill Bundle as your original work.
5.5 Violate law or policy
Use the Skill Bundle to violate applicable law, third-party rights, third-party terms of service, or the Marketplace Acceptable Use Policy.
5.6 Circumvent access controls
Bypass access controls, payment gating, Entitlement checks, or delivery restrictions.
5.7 Use Seller branding
Use the Seller's trademarks, brand names, or logos except to identify the purchased Skill Bundle as delivered.
5.8 Modification rules
Modifications are permitted for your own Internal Use only. You may alter, adapt, reconfigure, or extend the Skill Bundle for your own workflows. You may not redistribute, resell, or publicly share modified versions.
5.9 Derivative Work boundaries
If you create a new, independently functional skill or product that was inspired by or partly derived from a purchased Skill Bundle:
- If it can function without any substantial portion of the original Bundle: it is treated as your own independent work and is not restricted by this License.
- If it cannot function without substantial original material: it is treated as a Modification and is subject to the Modification rules in Section 5.8.
The test is functional independence: does the new work require a substantial portion of the original Skill Bundle to operate?
6. Team and Contractor Access
6.1 Single entity model
The license permits Internal Use by personnel of your single legal entity. Affiliates, subsidiaries, and other related legal entities that are separate legal persons are not covered. Separate entities require separate purchases.
6.2 Contractors
Contractors and service providers may access the Skill Bundle on your behalf, provided:
- They act under your direction and within your environment and workflows;
- They do not access or use the Skill Bundle independently for their own purposes;
- They do not retain copies of the Skill Bundle (or modified versions) after the engagement ends;
- You (the purchasing account holder) remain responsible for their compliance with this License.
6.3 No seat-based licensing at launch
Dedicated seat-based or multi-entity licensing is not available at launch. If your use case requires broader access, contact Support.
7. Third-Party Materials and Open-Source Components
7.1 Separate licenses
Third-Party Materials included in or referenced by a Skill Bundle remain subject to their own licenses and terms. This License covers only the Seller-owned and Marketplace-delivered portions to the extent the Seller has rights to license them.
7.2 Mandatory Manifest
Every published Skill Bundle must include a Manifest listing all included or bundled Third-Party Materials and their respective licenses. The Marketplace verifies the presence of this Manifest before a Listing goes live.
Product dependency: Seller tooling must require a Manifest and block publication if the Manifest is missing.
7.3 Copyleft disclosure
If a Skill Bundle includes components under copyleft licenses (GPL, AGPL, LGPL, MPL, or similar):
- The Seller must explicitly disclose this in the Listing metadata before purchase;
- The Seller must ensure the Bundle's distribution complies with the copyleft terms;
- Unlabeled copyleft inclusion is treated as a Listing rejection reason. If copyleft components are discovered in a published Bundle without proper disclosure, the Marketplace may suspend or remove the Listing.
7.4 Runtime dependencies
Runtime dependencies fetched at install time are the Buyer's responsibility to evaluate. However, Sellers must disclose known required runtime dependencies and their licenses in the Manifest.
7.5 Dual licensing
If a Third-Party component is dual-licensed, the Manifest must state which license applies within the Bundle.
7.6 Your responsibility
You are notified that Third-Party Materials are governed by their own terms. This License does not override or replace those terms. If a Third-Party license requires you to take specific actions (e.g., preserve notices, provide source), you must comply independently.
8. Updates, Versioning, and Availability
8.1 Updates
Unless a Listing explicitly promises that future updates are included:
- You are not automatically entitled to new versions;
- The Seller may publish updates, and you may choose whether to apply them;
- You retain the right to use any version you lawfully obtained.
8.2 Seller changes
A Seller may update a Skill Bundle's structure, functionality, or dependencies. If an update materially changes the Skill Bundle in a way that affects your use, you are not required to accept the update and may continue using your previously obtained version.
8.3 Download and retention
You are encouraged to download and retain a local copy of the Skill Bundle at the time of purchase. In any scenario where hosted access ends (see Section 9), you will receive advance notice and a reasonable download window before access is removed, except where immediate removal is required by law.
9. Delisting Matrix
When a Listing is removed from the Marketplace, the consequences for existing Buyers depend on the reason for removal.
9.1 Legal takedown
Trigger: IP infringement, court order, regulatory action.
| Aspect | Consequence |
|---|---|
| License | Terminates. The Seller lacked the right to grant it. |
| Hosted files | Immediately removed. |
| Refund | Automatic Refund for purchases within the Refund-eligible window. Best-effort Refund or credit for older purchases. |
| Your obligation | Stop use and delete all copies. Outputs that do not embed infringing material remain your responsibility. |
9.2 Policy-violation removal
Trigger: Seller banned for Acceptable Use Policy violation, but the Skill Bundle content itself is not the direct violation.
| Aspect | Consequence |
|---|---|
| License | Survives for versions already downloaded and installed. |
| Hosted files | Removed after a 30-day grace period for you to download your purchased version. |
| Refund | No automatic Refund. You may request a Refund under the normal Refund Policy. |
| Your obligation | You may continue using already-obtained copies. No further updates will be provided. |
9.3 Voluntary Seller removal
Trigger: Seller delists the Listing by choice.
| Aspect | Consequence |
|---|---|
| License | Survives indefinitely for versions already downloaded and installed. |
| Hosted files | Remain available for at least 30 days after delisting to allow final downloads. |
| Refund | No Refund (Seller's commercial decision, not a defect). |
| Your obligation | You may continue using already-obtained copies. No further updates will be provided. |
9.4 Key principle
The license and the access are separate, but this separation must be fair. Where you retain a license but lose hosted access, you will have had a reasonable opportunity to download the Bundle before access is removed. Where the license itself terminates (legal takedown), you should receive a Refund.
The Marketplace will never leave you in a state where you nominally hold a license but had no practical opportunity to obtain or retain the licensed material — except where immediate removal is required by law or court order.
10. Security and Compliance Responsibilities
As a Buyer, you are responsible for:
- Not using the Skill Bundle with unlawful inputs, stolen credentials, third-party secrets, or prohibited workloads;
- Your own environment, API keys, prompts, regulatory compliance, and production validation;
- Complying with applicable law and the Acceptable Use Policy in your use of the Skill Bundle;
- Evaluating whether the Skill Bundle is suitable for your specific environment and use case.
The Skill Bundle is operational automation, not static content. You bear responsibility for what you do with it in your environment.
11. Intellectual Property Ownership
11.1 Seller's rights
The Seller and its licensors retain all ownership rights in the Skill Bundle, including code, prompts, documentation, packaging, branding, and other protected materials. Third-Party Materials belong to their respective owners.
11.2 Your rights
You receive a use license only (Section 3). Your Outputs are addressed in Section 4.5. This section governs the underlying Skill Bundle materials, not your work product.
11.3 Operator's rights
The Marketplace Operator does not claim ownership of Skill Bundle content or Buyer Outputs. The Operator's intellectual property covers the Marketplace platform, its design, branding, and proprietary tools.
12. Suspension and Termination
12.1 Termination for cause
This License may be terminated if you:
- Materially breach this License or the Terms of Service;
- Engage in fraud or misrepresentation;
- Violate the Acceptable Use Policy;
- Are subject to sanctions, legal restrictions, or compliance requirements that prevent continued use.
12.2 Effect of termination
On termination:
- You must stop using the Skill Bundle unless mandatory law in your jurisdiction says otherwise;
- You must delete all copies except archival copies required for legal compliance (which may be retained but not used);
- Already-created Outputs remain your responsibility, unless they embed protected Seller material that you are required to remove.
12.3 Delisting-driven termination
If termination results from a Listing being delisted (rather than your breach), the delisting matrix in Section 9 governs which rights survive and which do not.
13. Warranty Disclaimer
The Skill Bundle is provided "as is" and "as available," to the maximum extent permitted by applicable law. Neither the Seller nor the Operator warrants that the Skill Bundle will be:
- Error-free or uninterrupted;
- Compatible with every runtime, environment, or configuration;
- Fit for a specific business result;
- Free of all security vulnerabilities.
This disclaimer is consistent with the disclaimers in the Terms of Service (Section 17). Where a Listing makes specific, factual compatibility or functionality claims, those claims are the Seller's responsibility and are not disclaimed by this section.
14. Limitation of Liability
To the maximum extent permitted by applicable law, neither the Seller nor the Operator is liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Skill Bundle, including lost profits, lost data, business interruption, or damages from use in high-risk environments.
The Operator's liability cap is set in Section 18 of the Terms of Service and applies here.
Nothing in this section excludes liability that cannot be excluded under applicable law, including mandatory consumer-law protections.
15. Governing Law and Disputes
This License is governed by the same governing law and venue provisions as the Terms of Service (Section 20), including the consumer-law carve-out for mandatory local protections.
