Seller Terms

These terms govern your relationship with the Marketplace as a Seller. By creating a Seller account or publishing a Listing, you agree to these terms. If you are acting on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity. Please read these terms together with the Terms of Service, Privacy Policy, and Acceptable Use Policy.
1. Definitions
Capitalized terms used in these Seller Terms have the meanings given in the Shared Definitions. Key terms for Sellers include: Operator, Marketplace, Seller, Buyer, Listing, Skill Bundle, Entitlement, Delivery, Telegram Stars, Refund, Third-Party Materials, Open-Source Components, Manifest, and Modification.
2. Seller Account Eligibility
To become a Seller, you must:
- Be of legal age to enter into a binding agreement in your jurisdiction.
- Provide accurate identity and contact information.
- Not be subject to sanctions, trade restrictions, or legal prohibitions that would prevent your participation.
- Not use another person's Telegram identity, Seller handle, or account deceptively.
If you act on behalf of a company, you represent that you have the authority to bind that entity to these terms.
3. Seller Onboarding and Account Information
You must keep your Seller profile details, contact information, and payout details accurate and up to date. We may pause Listing publication or payouts if your onboarding, tax, or verification details are incomplete.
Before real payouts begin, we may require additional identity or tax verification. We will notify you of any verification requirements before they affect your account.
4. What You May Upload and Publish
You may submit the following as part of your Listings:
- Skill Bundle package files (code, prompts, manifests, configuration, documentation)
- Install scripts and setup instructions
- Screenshots, icons, and visual assets
- Listing metadata: title, description, category, tags, compatibility claims, pricing, changelogs, and support policy
- License terms (subject to Marketplace approval)
All content you submit is subject to technical validation and editorial or moderation review before or after publication. Submission does not guarantee publication.
5. License Grant to the Marketplace
By publishing a Listing, you grant the Operator a non-exclusive, worldwide, royalty-free license to use your Seller content for the following purposes only:
- Hosting and delivery — storing, serving, and delivering your Skill Bundles and Listing content to Buyers.
- Validation and security — scanning for malware, inspecting Manifests, flagging risky components, and isolating delivery processing.
- Moderation — reviewing, testing, and evaluating your Listings for compliance with these terms and Marketplace policies.
- Display and promotion — showing your Listings, screenshots, names, descriptions, and excerpts in search results, category pages, featured placements, reviews, and storefront merchandising.
- Delivery artifacts — generating Buyer-facing delivery archives, install instructions, and confirmation messages.
- Support — using Listing content to respond to Buyer support requests and resolve disputes.
- Packaging normalization — adjusting Manifest structure or package format as needed for Marketplace delivery infrastructure.
What this license does not include
This license does not grant us the right to:
- Train machine learning models on your content.
- Build competing products or services from your content.
- Create derivative works beyond what is necessary for the purposes listed above.
- Sublicense your content to third parties for purposes unrelated to Marketplace operations.
Any use of your content beyond the scope described above requires your separate, explicit consent.
Duration
This license remains in effect while your Listing is active. After termination or Listing removal, the license continues only to the extent necessary to serve already-purchased Entitlements to existing Buyers (see Section 16).
6. Seller Ownership and Retained Rights
You retain full ownership of your original content. Publishing a Listing does not transfer copyright to the Operator. You remain free to distribute your content through other channels.
Publication authorizes distribution of your Skill Bundles to Buyers under the applicable Buyer License. You are responsible for ensuring your content is compatible with the Buyer License terms.
7. Seller Representations and Warranties
By publishing a Listing, you represent and warrant that:
- Ownership and rights. You own or have sufficient licensed rights to all content in your Listing and Skill Bundle, including any Third-Party Materials.
- No infringement. Publication and distribution of your content will not infringe copyright, trademark, trade secret, privacy, publicity, or contractual rights of any third party.
- No malware. Your Skill Bundle does not contain malware, spyware, credential-theft mechanisms, destructive payloads, hidden remote-control features, unauthorized access tooling, or intentionally deceptive behavior.
- No secrets or unauthorized data. Your Skill Bundle does not include API keys, tokens, internal credentials, personal data of third parties, or confidential information you lack the right to share.
- Accurate claims. Your Listing's compatibility claims, pricing, screenshots, and marketing descriptions are accurate and not misleading.
- Legal compliance. You will comply with applicable laws, sanctions restrictions, export controls, and Marketplace policies.
- Open-source compliance. You have honored all third-party open-source license obligations, attribution requirements, and notice conditions for any Open-Source Components included in your Skill Bundle.
- Support. You will provide support consistent with whatever support commitment is shown publicly on your Listing.
- Cooperation. You will cooperate promptly with moderation, takedown, Refund, and abuse investigations.
8. Listing Accuracy, Compatibility, and Support
You must keep your Listing information current and accurate, including:
- Title, description, and screenshots
- Compatibility claims (runtime, OS, tools, dependencies)
- Known limitations and requirements
- Update notes and changelogs
- Support channels and response expectations
If your Skill Bundle no longer works with a claimed runtime or tool, you must update or remove that compatibility claim promptly.
Minimum support obligations
Even at launch, you must:
- Maintain a working contact method for Buyer support inquiries.
- Respond to Buyer support requests within the timeframe stated on your Listing.
- Provide reasonable remediation for broken packaging or materially inaccurate Listing claims.
- Not use outdated compatibility claims for versions your Skill Bundle no longer supports.
9. Pricing, Commission, Payouts, and Refunds
Pricing
You set the price for your Listings. Paid Listings are purchased using Telegram Stars. Free Listings may be offered without charge.
Commission
The Operator charges a commission of 23% on each paid sale. Your net revenue per sale is the sale price minus the Operator's commission and any applicable platform fees.
Payout timing
Payouts of earned revenue are processed within 28 days of sale settlement, subject to the completion of any applicable Refund windows, anti-fraud checks, and reconciliation.
Payouts are processed in TON cryptocurrency via the Telegram/Fragment ecosystem. By request, Sellers may receive payouts in USDT or TON at the USD exchange rate at the time of the payout. The Operator does not process fiat currency payouts.
Payout holds
We may withhold or offset payouts for:
- Charge disputes or chargebacks
- Fraud or abuse investigations
- Policy violations or takedown events
- Overpayments or accounting errors
Any payout hold will include a stated reason. Payout holds may not exceed 90 days unless an active legal proceeding, law-enforcement request, or unresolved fraud investigation requires longer. You will be notified of holds and their reasons.
Refund economics
When a Refund is issued to a Buyer under the Refund Policy, the Refund amount is deducted from the Seller's earned revenue for that transaction, unless the Refund was caused by a Marketplace error or Operator action unrelated to the Seller's content.
Changes to commercial terms
Changes to the commission rate, payout timing, or fee structure require at least 30 days' advance written notice and apply only to sales occurring after the change takes effect. Changes do not apply retroactively to earned balances.
Taxes
You are responsible for your own tax obligations, including income tax, VAT, and any other applicable taxes on revenue earned through the Marketplace. We may provide transaction records to assist with your tax reporting but do not act as your tax advisor.
10. Moderation, Review, Suspension, and Removal
Operator moderation rights
We may review, reject, de-rank, edit presentation, request changes, suspend distribution, or remove a Listing for any of the following reasons:
- Violation of these Seller Terms, the Terms of Service, or the Acceptable Use Policy
- Inaccurate compatibility claims or misleading screenshots
- Missing or incomplete license information
- Suspicious scripts, network behavior, or security concerns
- High Refund rates or abuse signals
- Nonresponsive Seller support
- Repeat low-quality or abandoned Listings
- Legal, safety, trust, or reputational concerns
Moderation approval does not constitute a legal certification or warranty by the Operator. We may apply internal risk labels and review notes that are not visible to Buyers.
Appeal path
You have the right to appeal any moderation decision, Listing removal, account suspension, or payout hold. Here is how the appeal process works:
- Written reason. You will receive a written explanation of the reason for any adverse action taken against your Listing or account.
- Appeal submission. Submit your appeal to [email protected] within 30 days of receiving the adverse action notice.
- Review. We will review your appeal and respond within 10 business days.
- Emergency removals. Listings removed for immediate safety, legal, or security concerns may be removed before you are notified. You may still appeal after removal, and we will review the appeal before the action becomes permanent.
We will not penalize your Seller standing for complaints or takedown notices that are determined to be unfounded or abusive (see Section 11).
11. Takedown, Infringement, and Abuse Handling
You agree to cooperate with the IP/Takedown Policy. This means:
- Responding promptly to infringement notices directed at your Listings.
- Providing proof of rights if we request it.
- Accepting temporary removal while a complaint is reviewed.
Repeat infringement or abuse is grounds for suspension or termination.
Protection against abusive complaints
We recognize that Buyers or competitors may file bad-faith takedown notices, fraudulent IP complaints, or abuse the Refund system. We commit to:
- Reviewing takedown notices for facial validity before acting (except where law requires immediate removal).
- Allowing you to submit counter-notices with supporting evidence.
- Tracking patterns of abusive complaints from specific Buyers or accounts.
- Not penalizing your Seller standing for complaints determined to be unfounded or abusive.
- Flagging Buyers with abnormally high Refund rates or repeated complaints against multiple Sellers for internal review.
12. Security, Malware, and Secrets
We treat uploaded Skill Bundles as untrusted code. We may scan files, inspect Manifests, flag risky components, and isolate delivery processing.
You must not:
- Design packages to evade review or hide capabilities.
- Include beaconing, unexpected network calls, or hidden remote payloads without clear disclosure.
- Request Buyers to disable security safeguards without clear, upfront explanation.
You must disclose in your Listing:
- Network access requirements
- External services or APIs your Skill Bundle depends on
- Privileged permissions needed for installation or operation
- Whether installation modifies system files, project configuration, or host agent/runtime settings
These disclosure requirements align with the Skill privilege model defined in Section 6 of the Acceptable Use Policy, which sets formal privilege levels and corresponding disclosure obligations for each level.
13. Data Protection
You must not upload personal data you do not have the right to process. If your Skill Bundle is designed to process customer or third-party data, you must disclose that use case clearly in your Listing and ensure your instructions are lawful.
We are not responsible for your independent downstream data processing. We reserve the right to remove Listings that pose data-protection risks. For details on how we handle your data as a Seller, see the Privacy Policy.
14. Open-Source and Third-Party Materials
You must:
- Identify significant Third-Party Materials and Open-Source Components included in your Skill Bundle.
- Preserve required attribution, license notices, and copyright statements.
- Ensure your Skill Bundle does not include Third-Party Materials under terms you cannot satisfy or that are incompatible with Marketplace distribution.
- Include a Manifest listing third-party dependencies and their licenses where applicable.
Third-party Open-Source Components remain governed by their own licenses. You are responsible for ensuring compatibility between those license terms and Marketplace distribution under the Buyer License.
15. Indemnity
You agree to indemnify, defend, and hold harmless the Operator and its officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from:
- Your Listing content or Skill Bundle (including IP claims, unlawful content, malware, or deceptive claims)
- Your breach of these Seller Terms or any Marketplace policy
- Your unauthorized use of third-party data, rights, or materials
- Your failure to comply with applicable laws, sanctions, or export controls
- Disputes with Buyers arising from your content or support failures
16. Term, Termination, and Post-Termination
Term
These terms are effective from when you create a Seller account or publish your first Listing, and remain in effect until terminated by either party.
Termination for cause
We may suspend or terminate your Seller account immediately if you:
- Violate these Seller Terms, the Terms of Service, or any Marketplace policy
- Commit fraud, upload malware, or engage in deceptive practices
- Repeatedly infringe third-party IP rights
- Fail to cooperate with a moderation or abuse investigation
Even in for-cause termination, you will receive a written reason and may use the appeal path described in Section 10. We may withhold payouts pending investigation.
No-fault termination
Either party may terminate the Seller relationship without cause:
- You (voluntary exit): You may request account closure at any time by contacting [email protected]. We will provide at least 30 days to download your content before deactivation.
- Operator (business changes or platform shutdown): We will provide at least 30 days' advance notice before terminating your account without cause. If the Marketplace shuts down entirely, we will provide as much notice as reasonably possible.
Post-termination outcomes
Regardless of the reason for termination:
- Content ownership. You retain full ownership of your original content and may republish it elsewhere.
- Export. We will provide a reasonable mechanism for you to export your unpublished drafts and Listing metadata (descriptions, changelogs, screenshots) upon request, for a period of 30 days after termination.
- Buyer Entitlements. Already-purchased Buyer Entitlements remain available to those Buyers unless legally impermissible, but no new sales of your Listings will occur.
- Final payouts. For no-fault termination, all earned and unsuspended balances will be paid within 60 days of the termination date. For cause-based termination, payouts follow the hold rules in Section 9.
- License wind-down. The license granted in Section 5 terminates, except to the extent needed to continue serving already-purchased Entitlements to existing Buyers.
- Record retention. We retain records as described in the Privacy Policy for compliance, fraud prevention, dispute resolution, and accounting purposes.
17. Disclaimers and Limitation of Liability
The Operator does not guarantee:
- Any minimum sales, ranking, visibility, or distribution of your Listings.
- Uninterrupted availability of the Marketplace, including features that depend on Telegram.
- Any specific payout timing beyond the commitments in Section 9.
- That moderation approval means your Listing is lawful, bug-free, safe, or fit for any purpose.
The Marketplace relies on Telegram for account authentication, messaging, payment processing (Stars), and delivery channels. The Operator does not control Telegram's infrastructure, terms, or availability. Service disruptions, API changes, Stars rule changes, or bot suspension by Telegram may affect Marketplace operations, including purchase processing, delivery, refund timing, and account access. The Operator will use reasonable efforts to maintain service continuity but cannot guarantee uninterrupted operation of features that depend on Telegram.
To the maximum extent permitted by applicable law, the Operator's total aggregate liability to you under these Seller Terms is limited to the total commissions and fees you have paid to the Operator in the 12 months preceding the event giving rise to the claim.
18. Changes to These Terms
We may update these Seller Terms as the Marketplace evolves.
- Immediately effective changes: Changes required by law, regulation, or platform policy may take effect immediately upon notice.
- Prospective commercial changes: Changes to commission rates, payout timing, fee structure, or other commercial terms require at least 30 days' advance written notice and apply only to sales occurring after the effective date. These changes do not apply retroactively to earned balances.
We will notify you of material changes through the Website, Telegram Bot, or email. Continued use of the Marketplace after changes take effect constitutes acceptance, to the extent permitted by applicable law.
19. Governing Law and Disputes
These Seller Terms are governed by the laws of Ukraine, without regard to conflict-of-law principles. This is consistent with the governing law provisions in the Terms of Service (Section 20).
Before initiating any formal legal action, you agree to send a written notice describing the dispute to [email protected] and allow at least 30 days for resolution.
Disputes will be resolved in the courts of Ukraine, unless mandatory consumer-law provisions in your jurisdiction require a different forum.
